## 3. ESTIMATES AND QUOTES

### 3.1 Free Estimates

We offer free, no-obligation estimates for most residential and commercial projects. Estimates are provided based on:

### 3.2 Estimate Validity

## 5. PRICING AND PAYMENT TERMS

### 5.1 Payment Structure

Payment terms will be specified in your service contract and may include:

- Final Payment: Due upon satisfactory completion and client walkthrough

## 6. PROJECT TIMELINE AND SCHEDULING

- Permit processing times

### 6.2 Delays and Extensions

We will make reasonable efforts to adhere to schedules. However, we are not liable for delays caused by:

- Inclement weather

- Acts of God or force majeure events

- Client-requested changes

- Material shortages

- Permit delays

- Discovery of hazardous materials or unsafe conditions

### 6.3 Client Responsibilities

Clients must:

- Provide clear access to work areas

- Remove or protect valuable items and furnishings

- Secure pets

- Ensure utilities (water, electricity) are available

- Obtain necessary HOA or landlord approvals

- Be available for color confirmations and inspections

## 7. CLIENT OBLIGATIONS AND PROPERTY ACCESS

### 7.1 Site Preparation

Unless otherwise agreed in writing, clients are responsible for:

- Moving furniture away from walls

- Removing wall hangings and decorations

- Covering or moving valuable items

- Providing secure storage for items

- Disclosing known hazards or property conditions

### 7.2 Access to Property

Clients must provide:

- Safe and unrestricted access to work areas during scheduled hours

- Keys, codes, or access cards as needed

- Notice of security systems or special entry requirements

- Parking for crew vehicles and equipment

### 7.3 Occupancy During Work

If occupants remain in the property during work:

- Certain areas may be temporarily inaccessible

- Dust, fumes, and noise should be expected

- Safety precautions must be followed

- Children and pets must be kept away from work areas

## 8. MATERIALS AND WORKMANSHIP

### 8.1 Quality Standards

We are committed to delivering high-quality workmanship and using professional-grade materials. All work will be performed in accordance with:

- Industry best practices

- Manufacturer specifications

- California building codes and regulations

- Contract specifications

### 8.2 Material Selection

- Material brands and grades will be specified in contracts

- We use quality paints from reputable manufacturers

- Alternative materials require written approval

- We are not responsible for defects in client-supplied materials

### 8.3 Color Selection

- Final color approval is the client's responsibility

- We recommend viewing paint samples in actual lighting conditions

- Color matching is approximate; exact matches cannot be guaranteed

- Color change requests after application may incur additional charges

## 9. WARRANTIES AND GUARANTEES

### 9.1 Workmanship Warranty

We warrant our workmanship for a period of TWO (2) YEARS from project completion, covering:

- Peeling or excessive fading (under normal conditions)

- Defects in application technique

- Adhesion failures not caused by substrate issues

### 9.2 Warranty Exclusions

Our warranty does not cover:

- Normal wear and tear

- Damage from improper maintenance or cleaning

- Damage from moisture, settling, or structural movement

- Failures due to substrate defects not discovered during inspection

- Acts of God, vandalism, or abuse

- Areas not prepared or painted by us

- Issues arising from client-supplied materials

### 9.3 Material Warranties

Paint and material defects are covered by manufacturer warranties. We will assist in warranty claims but are not responsible for manufacturer defects.

Warranty is void if:

- Final payment has not been received

## 10. LIMITATION OF LIABILITY

### 10.1 Liability Cap

To the fullest extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question.

### 10.2 Excluded Damages

We are not liable for:

- Indirect, incidental, consequential, or punitive damages

- Loss of use, revenue, or profits

- Business interruption

- Damage to property not directly caused by our negligence

- Pre-existing conditions or hidden defects

- Damage from causes beyond our reasonable control

### 10.3 Insurance

We maintain general liability insurance and workers' compensation insurance as required by California law. Certificate of insurance available upon request.

## 11. HAZARDOUS MATERIALS AND SAFETY

### 11.1 Lead-Based Paint

For properties built before 1978:

- We comply with EPA Lead-Safe Certified requirements

- Lead testing may be required

- Special procedures and disclosures apply

- Additional costs may be incurred

### 11.2 Asbestos and Other Hazards

If we encounter asbestos, mold, or other hazardous materials:

- Work will be suspended immediately

- Client will be notified

- Professional remediation may be required before work resumes

- Additional costs are client's responsibility

### 11.3 Safety Compliance

We maintain a safe work environment in compliance with OSHA and California safety regulations. Clients must not interfere with safety equipment or procedures.

## 12. CANCELLATION AND REFUNDS

### 12.1 Client Cancellation

- Before Work Begins: Client may cancel with written notice. Deposits may be partially or fully refunded minus administrative costs and materials ordered.

- After Work Begins: Client may cancel but is responsible for all work completed, materials purchased, and reasonable cancellation fees (typically 20-30% of remaining contract value).

### 12.2 Company Cancellation

We reserve the right to cancel or suspend services if:

- Client fails to make required payments

- Client breaches these Terms or the service contract

- Unsafe or illegal conditions are discovered

- Client engages in abusive or threatening behavior

- Force majeure events make performance impossible

### 12.3 Refund Process

Approved refunds will be processed within 30 days using the original payment method.

## 13. PROPERTY DAMAGE AND CLAIMS

### 13.1 Our Responsibility

We take reasonable precautions to protect your property. If our negligence causes damage:

- Notify us immediately in writing

- Provide photos and documentation

- Allow us opportunity to inspect and repair

- We will repair or compensate for verified damage

### 13.2 Pre-Existing Conditions

We are not responsible for:

- Pre-existing damage noted in pre-project inspection

- Hidden defects or weak substrates

- Normal settlement or structural movement

- Damage from conditions beyond our control

### 13.3 Claims Process

Damage claims must be submitted within SEVEN (7) DAYS of discovery. Claims submitted after project completion and final payment may be subject to warranty provisions rather than immediate liability.

## 14. DISPUTE RESOLUTION

### 14.1 Good Faith Negotiation

If a dispute arises, parties agree to first attempt resolution through good faith negotiation and direct communication.

### 14.2 Mediation

If negotiation fails, parties agree to attempt mediation before pursuing litigation. Mediation costs will be shared equally.

### 14.3 Arbitration

For disputes involving amounts over $10,000, parties may agree to binding arbitration under California arbitration rules.

### 14.4 Litigation

If alternative dispute resolution fails:

- Any legal action must be filed in Sutter County or Yuba County, California

- California law governs these Terms

- Prevailing party may recover reasonable attorney fees and costs

### 14.5 Time Limit for Claims

Any claim must be filed within ONE (1) YEAR of the alleged incident or discovery of the issue, or the claim is waived.

## 15. INTELLECTUAL PROPERTY

### 15.1 Company Materials

All marketing materials, estimates, designs, techniques, and business processes are proprietary to Law's Custom Painting and protected by copyright and trade secret laws.

### 15.2 Project Photos

We may photograph completed projects for:

- Marketing and advertising purposes

- Portfolio and website display

- Social media and review platforms

- Training and quality control

If you object to such use, notify us in writing. We will respect your privacy preferences.

## 16. SUBCONTRACTORS AND EMPLOYEES

### 16.1 Use of Subcontractors

We may use qualified subcontractors for specialized work. All subcontractors are:

- Licensed and insured as required

- Bound by confidentiality agreements

- Our responsibility regarding work quality

### 16.2 Employee Conduct

Our employees and contractors will:

- Conduct themselves professionally

Clients should not:

- Directly employ or solicit our employees or subcontractors during the project or for 12 months after completion

- Interfere with work assignments or supervision

- Provide direction contrary to project specifications

## 17. INDEMNIFICATION

Client agrees to indemnify and hold harmless Law's Custom Painting, its officers, employees, and agents from any claims, damages, or expenses (including attorney fees) arising from:

- Client's breach of these Terms

- Client's negligence or willful misconduct

- Failure to disclose property conditions or hazards

- Third-party claims related to client-supplied materials or instructions

- Violations of laws or regulations by client

## 18. FORCE MAJEURE

We are not liable for delays or failures to perform due to circumstances beyond our reasonable control, including:

- Natural disasters (earthquakes, floods, fires, storms)

- Pandemic or epidemic

- Acts of terrorism or war

- Government orders or restrictions

- Labor strikes or shortages

- Material shortages or supply chain disruptions

- Utility failures

## 19. SEVERABILITY

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will continue in full force and effect. Invalid provisions will be modified to the minimum extent necessary to make them enforceable while preserving the parties' intent.

## 20. ENTIRE AGREEMENT

These Terms, together with any written service contract and estimate, constitute the entire agreement between you and Law's Custom Painting regarding our services. No oral representations, modifications, or amendments are valid unless reduced to writing and signed by both parties.

## 21. WAIVER

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future. Waivers must be in writing to be effective.

## 22. ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a business sale, merger, or acquisition.

For existing contracts, the Terms in effect at the time of contract signing will govern unless both parties agree to modified Terms in writing.
